Terms of Service

CoreCredit is an organisational ledger for core returns and vendor credits. It works from the figures you enter, and it cannot make a vendor accept a return or issue a credit.

1. Agreement and eligibility

These Terms of Service ("Terms") are an agreement between you and Idlery Services LLC ("Idlery", "we", "us") governing your use of the CoreCredit application and the websites at corecredit.idlery.com and idlery.com (together, "CoreCredit").

By downloading, installing, or using CoreCredit, you agree to these Terms. If you do not agree to them, do not use CoreCredit.

You must be at least 18 years old to use CoreCredit, or use it with the permission and supervision of a parent or legal guardian. If you are using CoreCredit on behalf of a business, you represent that you are authorised to accept these Terms for that business, and "you" includes that business.

CoreCredit is offered for use in the United States. If you use it elsewhere, you do so on your own initiative and are responsible for complying with any local law that applies to you.

2. Who provides CoreCredit

CoreCredit is provided by Idlery Services LLC, an Ohio limited liability company. Contact: support@idlery.com.

3. Your licence to use CoreCredit

Subject to these Terms, Idlery grants you a limited, personal, revocable, non-exclusive, non-transferable, non-sublicensable licence to install and use one copy of the CoreCredit application on Apple-branded devices that you own or control, for your own personal or internal business purposes.

This is a licence to use CoreCredit, not a sale of it. All rights not expressly granted are reserved by Idlery.

4. What CoreCredit does

CoreCredit is a place to record refundable parts-core charges and to keep track of them: what you were billed, which old unit has to go back, which vendor it belongs to, when that vendor's return window closes, whether the unit was returned, and whether the expected credit ever actually arrived.

It works entirely from the figures and details you enter. It does not connect to any vendor's system, does not read your accounts, and knows nothing about your arrangements with a supplier.

Return windows, due dates, aging, totals, and shortfalls are calculated from the values you recorded — including the return window you recorded for each vendor. They are your own working notes, not a statement of any vendor's policy.

5. What CoreCredit is not

  • CoreCredit is not accounting or bookkeeping software, and the totals it shows are not books of account.
  • Nothing in CoreCredit, and nothing on these websites, is accounting, tax, legal, financial, or warranty advice, and none of it is a substitute for advice from a qualified professional you engage yourself.
  • CoreCredit is not a shop-management, repair-order, or inventory system.
  • CoreCredit is not a vendor integration or claim system. It sends nothing to any vendor and cannot make a credit happen.
  • CoreCredit is not a synced multi-user service. It does not sync between devices or share a ledger between employees.

6. Your entries, your scans, your judgement

Every amount, part number, invoice reference, repair-order reference, vendor, date, and note in CoreCredit is the one you or a member of your staff entered. You are responsible for the accuracy and completeness of your entries and for the decisions you make from them.

Barcode reading and text recognition are convenience features and can be wrong. You are responsible for reviewing anything a scan produces before saving it. CoreCredit presents recognised values for your review rather than writing them to a record automatically, and you should check every recognised amount, number, and date against the original paperwork.

If CoreCredit and your paperwork disagree, the paperwork governs.

Reminders are local notifications. They can be late or missed if notifications are turned off for CoreCredit, if the device is off, out of battery, or in a mode that suppresses them. Do not treat a reminder as a guarantee that you will be warned in time.

7. Vendors, returns, and credits

Whether a vendor accepts a returned core, and whether a credit is issued, when, and for how much, is entirely between you and that vendor, under whatever terms you agreed with them.

Idlery does not guarantee that any vendor will accept a return or issue a credit, in whole or in part. Idlery has no relationship with your vendors and is not a party to your agreements with them.

8. Local storage and backups

CoreCredit stores your records on your device, in the app's own storage. There is no account and no Idlery-operated server, so Idlery never receives a copy and cannot recover your records if your device is lost, damaged, replaced, reset, or erased, or if the app is deleted.

Keeping your own copies of anything you cannot afford to lose is your responsibility. The backup export exists for exactly that purpose. Note that a restore replaces the current contents rather than merging with them, and that evidence photographs are not carried inside the backup file.

9. Exports and sharing

Exports are generated on your device and leave the app only through the system share sheet, when you choose to send them. Deciding who should receive a file containing your shop's information — and your customers' information — is your decision and your responsibility.

Anything you send stays wherever you sent it and is governed by the terms of the app or service that received it.

10. Acceptable use

You agree not to:

  • use CoreCredit for any unlawful purpose, or to keep records you are not entitled to keep;
  • attempt to break, bypass, disable, or interfere with the subscription checks, the app's storage, or any other part of CoreCredit;
  • reverse engineer, decompile, or disassemble the application, except to the extent the law expressly permits despite this restriction;
  • copy, redistribute, rent, lease, sell, sublicense, or make CoreCredit available to third parties as a service;
  • remove, obscure, or alter any proprietary notice in CoreCredit; or
  • use CoreCredit in a way that infringes anyone's rights or violates applicable law.

11. Ownership and intellectual property

CoreCredit — including the application, its design, its interface, its underlying software, the CoreCredit and Idlery names and logos, and the content of these websites — is owned by Idlery Services LLC and is protected by copyright, trademark, and other laws. Feedback you choose to send us may be used without obligation or compensation to you.

Your records remain yours. Idlery claims no ownership of the shop data you enter into CoreCredit, and does not receive it.

12. Availability and changes to the app

CoreCredit is provided as an application you install. Features can be added, changed, or removed between versions, and a version may stop being supported on older devices or older versions of iOS.

Idlery does not guarantee that CoreCredit will always be available for download, that any particular feature will be maintained indefinitely, or that CoreCredit will be free of errors or interruptions.

13. Subscriptions

This section applies once an optional subscription becomes available for CoreCredit. No subscription is on sale before then.

  • Free tier. CoreCredit is usable without a subscription. The free tier allows up to five simultaneously unresolved cores. Cores that have been credited or written off do not count toward that limit.
  • Pro entitlement. The optional Pro subscription removes that limit and allows unlimited unresolved cores.
  • Your existing records are never locked away. If an entitlement lapses, expires, or is cancelled, records you have already entered remain viewable and manageable. Only the ability to add further unresolved cores beyond the free limit is affected.
  • Apple processes the purchase. Subscriptions are sold by Apple through the App Store. Apple handles purchases, payment, automatic renewals, cancellations, and refunds. Payment is charged to your Apple Account when you confirm the purchase.
  • Pricing. Prices, currencies, and billing periods are those displayed by Apple for your storefront at the time of purchase. They are not published on this website, and Apple may change them with notice.
  • Renewal and cancellation. A subscription renews automatically unless auto-renewal is turned off at least 24 hours before the end of the current period, and your Apple Account is charged for renewal within 24 hours of the end of that period. You can manage or cancel through the Settings app on your device under your Apple Account → Subscriptions, or through the Manage Subscription control in the app. Deleting the app does not cancel a subscription.
  • Restore Purchases. Restore Purchases asks Apple whether the Apple Account signed in on your device already holds an active subscription and re-enables the entitlement if it does. A subscription follows the Apple Account that bought it, not the device.
  • Refunds. Refund requests are made to Apple through the App Store, under Apple's own process. Idlery cannot issue, promise, or reverse an App Store refund.

14. Apple's terms also apply

CoreCredit is distributed through the Apple App Store. Apple's Media Services terms and Apple's standard Licensed Application End User License Agreement apply to your download of the application and to any purchase you make, alongside these Terms. These Terms supplement Apple's terms where appropriate; they do not replace them, and nothing here is intended to override a term that Apple requires.

Apple is not responsible for CoreCredit or its contents and provides no support for it. If there is a conflict between these Terms and a term Apple requires for applications distributed through the App Store, Apple's required term governs for that purchase.

15. Disclaimer of warranties

To the fullest extent permitted by law, CoreCredit is provided "as is" and "as available", without warranty of any kind, whether express, implied, or statutory, including any implied warranty of merchantability, fitness for a particular purpose, title, or non-infringement.

Idlery does not warrant that CoreCredit will be uninterrupted, timely, secure, or error-free, that any calculation or reminder will meet your requirements, or that any defect will be corrected.

Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you. Nothing in these Terms removes or limits a right you have under law that cannot be set aside by agreement.

16. Limitation of liability

To the fullest extent permitted by law, Idlery Services LLC and its members, managers, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business, lost core credits, or lost or corrupted data, arising out of or relating to CoreCredit — whether based in contract, tort, warranty, or any other theory, and even if the possibility of those damages was known.

To the fullest extent permitted by law, the total aggregate liability of Idlery Services LLC for all claims relating to CoreCredit is limited to the greater of (a) the total amount you paid for CoreCredit and its subscription in the twelve months before the claim arose, or (b) twenty-five United States dollars.

Some jurisdictions do not allow some of these exclusions or limitations. Where that is the case, they apply only as far as that jurisdiction allows. Nothing in these Terms limits liability for fraud, fraudulent misrepresentation, or any other liability that cannot be limited by law.

17. Indemnification

You agree to indemnify and hold harmless Idlery Services LLC and its members, managers, officers, employees, and agents from any third-party claim, demand, loss, liability, or expense (including reasonable attorneys' fees) arising out of or relating to: your use of CoreCredit; the records you enter, export, or share; your breach of these Terms; or your violation of applicable law or the rights of a third party.

Idlery will notify you of any such claim it seeks indemnification for, and you may participate in its defence at your own expense. Idlery may take control of the defence and settlement of any claim for which it is indemnified.

18. Termination

These Terms apply for as long as you use CoreCredit. You may end this agreement at any time by ceasing to use CoreCredit and deleting the application from your devices. Deleting the application does not cancel a subscription — cancel that through Apple.

Idlery may suspend or terminate the licence granted in section 3 if you materially breach these Terms. Sections that by their nature should survive termination — including ownership, disclaimers, limitation of liability, indemnification, governing law, and venue — survive it.

19. Changes to these terms

Idlery may update these Terms from time to time. The current version is published at corecredit.idlery.com/terms and carries an effective date. Continuing to use CoreCredit after an update takes effect means accepting the updated Terms. If you do not accept them, stop using CoreCredit.

20. Governing law and venue

These Terms, and any dispute arising out of or relating to them or to CoreCredit, are governed by the laws of the State of Ohio, without regard to its conflict-of-laws rules.

Any such dispute must be brought exclusively in the state or federal courts located in Butler County, Ohio. You and Idlery Services LLC each consent to the personal jurisdiction of those courts and waive any objection to venue there.

21. Severability

If any provision of these Terms is held unenforceable, that provision will be enforced to the maximum extent permitted, or severed if it cannot be, and the remaining provisions will stay in full force.

A failure to enforce any provision is not a waiver of it.

22. Entire agreement

These Terms, together with the CoreCredit Privacy Policy, are the entire agreement between you and Idlery Services LLC regarding CoreCredit, and supersede any prior understanding on that subject. Apple's applicable App Store terms apply alongside them, as described in section 14.

You may not assign or transfer these Terms without Idlery's written consent. Idlery may assign them in connection with a merger, acquisition, or sale of assets.
